PLMJ’s capital markets team consists of a group of lawyers with a high level of technical skill who are specialised in all aspects of securities, financial regulation and corporate governance. They have additional expertise in related areas such as privatisations and mergers and acquisitions of public companies.

The capital markets lawyers provide legal advice on securities with particular emphasis on public offerings for the distribution and acquisition of securities and initial public offerings. They boast significant experience in advising participants on all sides of these operations, as well as in areas related to the issue and admission of securities for trading in regulated and unregulated markets and in the processes related to membership, clearing and settlement in the those markets.

Our team also provides advice on regulatory, compliance and corporate governance matters to companies that issue negotiable securities. Our principal clients range from companies that issue negotiable shares in regulated markets to credit institutions, financial intermediaries and other operators in this market.

Over the last few years we have increasingly provided legal support in the establishment of securities investment funds, real estate investment funds (REIFs), special investment funds and in the commercialisation of foreign collective investment undertakings in Portugal. We have also acted in the structuring and placement of other financial instruments, including trading of derivatives against securities and commodities.

Finally, the methodical work carried out in the resolution of disputes related to capital markets and, more broadly, to financial and regulatory matters, also merits special attention.
