PLMJ advises Ardian on the Acquisition of Ascendi's Effects

PLMJ provided legal advice to Ardian Infrastructure, a private investment fund, on the acquisition of shareholdings held by the Ascendi. The PLMJ team was led by Diogo Perestrelo, the partner who heads PLMJ M&A. The team also included André Figueiredo, the partner who heads PLMJ Capital Markets, Elsa Pizarro Pardal, of counsel from PLMJ M&A, Marisa Larguinho, a senior associate from PLMJ Capital Markets, and Guilherme Seabra Galante, an associate from PLMJ M&A.

Through this deal, the Ardian Group acquired the whole of the share capital of the companies Ascendi PT and Ascendi PT II. In turn, these companies hold five motorway concessions: Ascendi Greater Lisbon, Ascendi Costa de Prata, Ascendi Beira Litoral and Beira Alta, Ascendi Norte, and Ascendi Greater Porto. In the same transaction, the Ardian Group also acquired three service and maintenance companies that are instrumental to these concessions, and a reference shareholding in Via Verde.

These acquisitions are part of a transaction which, besides the assets mentioned, may include the acquisition of three other motorway concessions.

Ardian manages one of the world’s largest investment funds. This fund is the largest in Europe and manages around EUR 60 million.
