Retail & Commercial Licensing
PLMJ has a retail and commercial licensing team of specialist lawyers who are perfectly equipped to deal with the challenges created by the dynamism and globalisation of brands and retails stores for the broadest range of goods and services. These lawyers share the skills and experience necessary to deal with every aspect of setting up, contracting, licensing and operation of every type of commercial establishment, both in Portugal and abroad.
The team has a special focus on the negotiation and setting up of the full range of small, medium and large commercial establishments from traditional high street stores to stores in shopping centres. Our lawyers use their experience to create innovative solutions for setting up new commercial establishments of every type, including both the food sector and the non-food sector. They also specialise in creating contractual mechanisms to protect trademarks, signs and the businesses of each type of retail operator.
Our dedicated team of retail and commercial licensing lawyers also handle all legal matters specific to every type of commercial establishment, franchising network or supermarket. These matters include specific licences, requirements, authorisations or rules that have to be addressed for every type of establishment, according to the commercial activity, size, location and operation of the same.
PLMJ’s retail and commercial licensing team also has broad experience in providing legal support in a broad range of projects from every sector of activity, as well as in advising major Portuguese and international retailers that want to create or develop business models, whether their own or under a franchising regime. These models are increasingly wide-ranging and diverse and involve both retail and wholesale models, and we work with clients operating in both the luxury goods and consumer goods markets.
The work of the lawyers that make up PLMJ’s real estate team encompasses all aspects of real estate and corporate real estate, from dealing with every aspect of the disposal of real estate assets to structuring and negotiating a full range of real estate operations. These operations include forward funding contracts, turn-keys, guaranteed income acquisitions, sale and lease back, forward purchase, real estate due diligence, structuring of real estate company groups, real estate investment funds and operations involving institutional investors.
PLMJ’s real estate lawyers are highly experienced in negotiating all types of real estate contracts relating to rights of use of real estate assets. In particular our lawyers handle contracts related to the use of retail units in shopping centres and retail parks, residential and commercial letting agreements, land use leases and contracts for the transfer of existing business establishments. The real estate team also provides legal support in a wide variety of planning and land registry matters, including the subdivision of land and buildings, land consolidation and severance and horizontal property issues. In general terms, the team handles all issues relating to the establishment and registration of rights of ownership and other rights over real property.
PLMJ’s real estate team offers unique experience in implementing real estate operations in Portugal which are tailored to suit the client’s home jurisdiction. The support provided includes advising a range of German real estate investment funds on structuring real estate operations and the subsequent implementation of restrictions arising from German Law. The team is also experienced in handling the restructuring and implementation in Portugal of Islamic investments governed by Shariah Law. Standing out amongst our many other projects is the adaptation of the Ijara structure to comply with Portuguese legislation.
Our real estate lawyers also have the know-how to provide legal support at every stage - acquisition, planning, construction, development, letting and sale - of a full range of real estate projects. Our experience encompasses shopping centres, residential developments, business and retail parks, hotels, tourist developments, industrial units and infrastructure. We also handle all issues relating to leisure or sporting developments such as theme parks and golf courses and we have an in-depth knowledge of the judicial, contractual and legal intricacies of every type of real estate asset.
