PLMJ provided legal advice on the acquisition of two companies, MO and ZIPPY, from the fashion division of the Sonae Group. The companies were acquired by their former management team, led by Francisco Sousa Pimentel, who is now the CEO of MO.
The acquisition was made in partnership with Fundo Mercúrio, a fund managed by Oxy Capital, S.G.O.I.C., and the Sonae Group was advised by Morais Leitão.

Subject to the usual conditions precedent and compliance with legal requirements, including prior notification of the transaction to the Competition Authority and receipt of a clearance decision, the transaction is expected to be completed by the end of the first half of 2025.
MO and ZIPPY are leading fashion and accessories retailers with over 120 stores in Portugal. Part of their business is dedicated to prominent international retailers. The companies will continue to be led by their respective management teams, particularly Francisco Sousa Pimentel.
